Trying to understand SCINs a bit more.
Have any of you used this with a client or how would you best describe a scenario where you would?
Can an estate assign an installment note to an LLC held by the estates beneficiaries? Executor wants to close estate and pass tax attributes to beneficiaries but it would otherwise need to stay open since there is still six years to maturity.
Prologue; Vortech’s Backstory/Family: 700 years ago, John and Claire Vortech lived on the planet “Foundation Prime”. This took place when there was people and an actual city on the planet. After a couple of months, his anger controlled him. And something else. He ended up destroying all of Foundation Prime except for the main citadel. He basically wiped out the entire population except for his family. He stole his father’s staff and banished his parents to another dimension and forced Myra to be his queen. That’s how it was to this day. For 300 years. Then after a long while, Myra was fed up with Tony being evil. So, she used her mother’s staff and banished him in a rift loop. Then, the events of ‘LEGO Dimensions’ led to the Foundation Prime Castle being in ruins. The group of villains at the beginning of the story wanted to bring back the real Lord Vortech. But, they brought back Tony Vortech, Lord Vortech’s Nephew.
Chapter 1; The Search for Luminous Lavania: Back in the present, Myra knew Luminous was dead, but she had a feeling that he was still living. She thought she was crazy, though. So, she set on a search for him. She searched all of the eastern side of Chronopolis Prime. Nothing. She searched the west side. Nothing. She said to herself, “Maybe he got blasted into another dimension. By the speed he was traveling, he might’ve gotten to a far dimension. But, the only dimensions I know that are far away from the singularity is Vorton, The Shard, The Eternal Badlands, and The Never-Escape Realm. He would not be in the Never-Escape Realm because no one banished him there. No one knows the coordinates to get to Vorton or The Shard except for Me and Tony. So, he must be in the Eternal Badlands.”

Chapter 1; Ninjago City in Ruins Once Again: After Nya defeated Kalamar and Wojira, she departs and becomes one with the sea. The rest of the ninja and the people of Ninjago city honor her sacrifice. In March 2015, I, alongside my business partner, sold 75% of our business to a private equity firm. The terms of the deal were $XMM in cash and $YMM+4% annual interest in an unsecured promissory note that is (was) due on March 2nd 2020. We still own 17.5% of the company to this day, but do not have any contact anymore with management.
I emailed the plan sponsor about our payment on March 2nd and never heard back. Okay, maybe I am wrong, maybe it is due March 30th rather than 5 years exactly from the day we sold (we sold on March 2nd). Maybe due to COVID no payment can go out. Benefit of the doubt basically. Never hear back. Fast forward to today - I call the Private Equity firm and am immediately referred to their outside counsel. They were really shady about it, asked if I was recording the call, told me to formally request whatever it is "that I may think I am entitled to" in an email or letter. This was a few hours ago.
I am calling my lawyer tomorrow, but wanted to see if anyone has been in this situation before. I looked at past docs from the data room (amazingly we still have everything on dropbox!) and came across the "Unsecured Promissory note". It looks like when we sold, we actually rolled over 17.5% of our equity into a NEWCO that is a holding company for my original business. The promissory note is from NEWCO LLC. So basically I have no form of personal guarantee from Private equity and the company is super leveraged due to dividend recapitalization done by private equity (they had preferred dist. on this). Not sure what I do here? Do I get a judgement and seize computers/drilling equipment/etc? There really isn't much hard assets like inventory or PPE. I know that the company also has a credit agreement with their bank so I don't think I could seize AR or really even cash as that would break a covenant. I am very confused. Any advice would be wholesomely appreciated.
PS- I am definitely seeking legal advice in AM, please do not message solely "get legal advice asap, dont be here". I actually value folks that have experience similar to mine. Sometimes even in the best of lawyers you don't get advice from someone who has experienced what small business owners have.
I'm going to post my thoughts and observations on various Breeders' Cup races in the coming weeks.
First I am looking at the Filly & Mare Sprint. I watched all 13 editions of the race, and I am reminded just how much I love seven furlong races. The first edition in 2007 was at Monmouth, so it was 6F, but the others were all run at the distance of 7F, which it will be run at again this year.
No horse, not one race was won in wire to wire fashion. Only twice, 2009 and last year, was the winner within three lengths at the pace call. Informed Decision in 2009 broke sharp, took a spot in third, then quickly second, less than a length off the leader, then passed her on the turn and fended off late challengers. Similarly last year, the normally speedy Covfefe took back off the quick pace, was fourth then third entering the turn, and took over entering the stretch. Every other horse was winner was four or more lengths off the front at the 1/2 mile. This does not bode well for Gamine or Serengeti Empress or Venetian Harbor. I think Frank's Rockette will go in the Sprint against males, so that's a good choice for her.
That said, I expect the winner to come from at least the usual four lengths back as most years. In fact, with these three certified speedballs in the race, I might take a look at either Sconsin who recently closed impressively at 7 furlongs in the Eight Belles Stakes, or possibly Speech. Another three-year old, Speech has sprinted well in the past, and has a winning G1 over the Keeneland track, winning the Ashland in July.
All of this is subject to change of course, I'm known to make my decision as they are loading the gate.

I have a rental that I sold and am treating the sale as an installment note sale. However this year I will have enough tax loss and tax loss carryforward to wipe out the gains if I am able to terminate the installment note sale. The note is still active with the buyer and likely will be for another 25 years but to simplify my return and take advantage of the current available tax losses I am thinking about terminating the sale by simply recognizing the remaining gain if that is possible.

I have been paying monthly for my note 7. Now that there is a total recall, will sprint be refunding the monthly payments associated with this device?
The interesting thing about discussions around parenting, politics, sex, families, relationships is that we, culturally, frame them around love, fact/truth, or authority/respect; we completely ignore the aspect of power.
We ignore it
...because we are uncomfortable, because it is so intrinsic as to be invisible, because it is inherently "unfair" in a society that fetishizes and participates in the illusion of fairness, to the point where those who overpower and dominate others do so while asserting the 'fairness doctrine'...
and we ignore it to our detriment.
Abuse is the mis-use of power over another, and what is rather horrifying is how I relinquished my own power in many ways because I felt less-than, as if I shouldn't have power due to the fact that I was not working or consistently bringing in an income. I gave away as much as the abuser took.
I only put a stop to it when I realized that he was so incredibly selfish that he was sacrificing my and our son's well-being, compromising my ability to parent, making our son physically ill.
I'd been ignoring my relationship with power; my attraction and revulsion to it.
One of my maladaptive coping mechanisms, for the longest time, was to ignore and repress shit I couldn't or didn't want to deal with. When I moved away from my abusive father, for example, I completely, mentally tabled anything relating to abuse or harm. "That was the past, not the present. I am not a victim!" I didn't want an experience I had no control over or say in to define me.
Another thing I ignored was my sexual preference in terms of submission and being dominated by another. It felt degrading to want what I wanted, it felt like I couldn't overcome the programming of abuse, it felt like my father 'won'. I simply ignored it as I could, and didn't engage with that; it was a black box, a missing stair.
But you can't run away from what you carry with you.
Over a year ago, I joined a gym because it had childcare and I needed a break. I wasn't interested in working out or losing weight or building muscle or the pool or the sauna or the classes or yoga. The sales guy tried to sell me on the amenities, and I was like "Take my credit card, YOU HAD ME AT CHILDCARE."

For those of you waiting to return your Note 7's and/or your loaner phones while you wait to respond to the changing story chez Samsung and Tmobile, I got info from customer service chat online. Some quoted stuff is trimmed down for economy. Hope this is helpful, and do let us know if you heard anything different.
On returning Note 7, the rep said that I would be fully refunded at any time: "Rep: As I've checked here on my system, there will be no cut off for the recall of Note 7 until they've collected all the Note 7 from our customer." So it's about the recall being open until ALL note 7's have been returned (that may be when the human population dies off). They did however suggest checking back in to see if that gets updated, so I'll still have to be on the alert, I guess.
On when I must return my s7 edge loaner, which is on EIP and the charges for it just popped up on my newest bill: "You: OK - to clarify, I can return the s7edge loaner (because linked to Note 7) at any time, and be fully refunded - but in the meantime I must pay the installment charges and pray i'll be refunded later? Rep: Yes you can return the loaner device any time as long as the issue for the note7 is still on going.And yes! you will be fully refunded once you returned the device. Yes you will be needing to pay for the device first and you'll get the full refund after you returned the device. You: This is SO helpful. And by "issue for note 7 still ongoing", you mean that as long as not all the note 7's have been returned to tmobile?

FYI: I am holding on the Note 7 even though it's been powered off, though out of safety concern I may return it very soon; and I'd rather use the s7 edge cost-free rather than my trusty old Nexus 5 if I don't have to give it up yet. Since my first EIP installment popped up on my bill, I needed a conclusive set of info from Tmobile itself as to what my financial obligations will be and when.

When I purchased my premium membership, I thought that my SC would come at the start of the next month's "billing cycle" (I bought 6 months at once).
A few days later I had read that you're supposed to receive the first SC installment immediately. I went and looked at my balance and did not see it reflected, so I opened a ticket.
Turns out these reoccurring installments are flagged invisible to the user. You will receive the Station Cash, but it will not show up in your account history. Quite sub-optimal, but let it be known.
Also, you only receive the 500SC installments as long as your account is set to bill again. This was brought up in another thread earlier this week, but it should still be known by potential buyers (given that premium membership + 50% boost can equal up to 400% exp this weekend). This does include buying multiple months at once, you'll have to cancel after you receive the last installment but before it bills you, if that is what you wish.
