Carousell Said in $1.5 Billion SPAC Deal Talks With L Catterton
Carousell Pte, a Singapore-based online classifieds marketplace operator, is in talks to go public through a merger with blank-check company L Catterton Asia Acquisition Corp., according to people familiar with the matter.
A transaction could value the combined entity at as much as $1.5 billion, the people said, asking not to be identified because the information is private. Carousell has entered into exclusive talks with the special purpose acquisition company, the people said.
The U.S.-listed SPAC is backed by L Catterton, the $30 billion buyout firm minority-owned by Paris-based luxury goods company LVMH Moet Hennessy Louis Vuitton SE and billionaire Bernard Arnault’s investment firm.
The SPAC plans to carry out due diligence on Carousell over the coming weeks with the goal of reaching a merger agreement as early as this quarter, the people said. The deal may include a private investment in public equity, or PIPE, worth a few hundred million dollars, the people said. Considerations are ongoing and there’s no certainty the talks will result in a deal, the people said, adding details such as timing and valuation could change. Representatives for Carousell and L Catterton declined to comment.
Led by L Catterton Asia managing partners Chinta Bhagat and Scott Chen, the SPAC raised $250 million last year to target a combination with companies in the high-growth, consumer technology sectors across Asia. It is sponsored by L Catterton Asia’s $1.45 billion third fund.
The platform Carousell was founded in 2012 and now counts Telenor Group, Rakuten Ventures, Naver, and Sequoia Capital India among its backers. The firm has since expanded to eight markets across Southeast Asia, Taiwan and Hong Kong, allowing users to buy and sell a diverse range of products from cars to gadgets and fashion accessories. It runs several online marketplaces including Carousell, Chotot.com in Vietnam, Mudah in Malaysia and OneKyat in Myanmar, according to its website.
The company has been exploring a U.S. listing via a SPAC deal, Bloomberg News reported in June, joining a growing list of companies across Southeast Asia. Marysol decides to do a flower ceremony, where they'll each let something emotional out and put a flower into the water. Marysol mentions her failed marriage, Alexia talks about her son recovering from a terrible car accident, Lisa talks about her fertility issues, and Joanna says she's going to try to make it work with Romaine. She comes home to Romaine re-proposing with a necklace, and she says yes again. Adriana accepts Frederic's engagement, and they plan to get married next spring.
Ana is going to actually sign her divorce papers after putting them off for so long. Robert looks on, as she signs the relationship away after 23 years of marriage, and the last two were spent separated and amicable.
Marysol and Phillipe end their marriage as well, after one year. They love each other, but just don't know how to make it work.

We come back to the episode still on the boat home in Miami, and the women decide to play never have I ever with the men they're bringing home. We learn Sheree and Porsha have had golden showers, and then the women get home and hang in and around the pool.
Kim Fields and Kandi are off to the side, talking, when Glen, Tammy's nephew, comes over, asks Kandi a question, and then gets snappy when she isn't giving him the exact tone or answer he wanted. This guy is scary y'all. He then starts calling everyone "bitch asses" while sitting in the hot tub as AN INVITED GUEST, and Kenya pulls Tammy aside to tell her he's weird and aggressive and she wants him to leave. Tammy, even though she is black-out drunk, tells the guys they need to leave and things go from bad to worse in minutes.
As Glen makes his way out, he asks Kenya what's up and she tells him that he is making the women uncomfortable and he should go. Glen then starts running/charging at Kenya, calling her "little bitch" over and over, and Tammy tries to defend Kenya by getting in front of Glen and he knocks her to the ground, essentially knocking her out and we get the camera pan to

For context I'm a Refuse Driver (Garbage man) & today I was on food waste. After I'd tipped I was checking the wagon for any defects when I spotted a lone pea balanced on the lifts.

| The 2021 Philadelphia Eagles season is the franchise's 89th season in the National Football League. Following a disappointing 2020, which saw the Eagles bench their franchise QB and only win a measly 4 times despite winning the division in the previous season, the Eagles made significant changes in the offseason which included shipping that franchise QB off to Indianapolis. The Eagles also made changes to the coaching staff, firing Doug Pederson and a majority of his staff just 3 seasons removed from winning the Super Bowl. A number of veterans were also shown the door including Alshon Jeffrey, Malik Jackson, Jason Peters and Desean Jackson. The first step in righting the ship came with the hiring of Nick Sirianni, who became the 24th coach of the franchise. Sirianni brings with him a competitive attitude that he hopes will translate onto the football field after the Eagles rolled over for teams multiple times last season. At QB, Jalen Hurts will be given his chance to prove himself as a franchise QB himself this season. The Eagles gave him the tools to succeed drafting his former Alabama teammate and Heisman Trophy winner Devonta Smith at WR in the first round. The Eagles will also return Lane Johnson and Brandon Brooks on the OL which should give Hurts more time in the pocket. On defense the Eagles added upcoming defensive mind Jonathan Gannon who brings a fire and a revamped secondary which added Anthony Harris and Steven Nelson. The secondary will be put to the test week 1 against Philadelphia area native Matt Ryan who leads a talented Falcons passing attack which includes their first round pick and fellow Philadelphia area natice TE Kyle Pitts. The Falcons are also coming in with a new coaching staff and a number of personnel changes as they also struggled in 2020. The Falcons better hope they made enough changes on the defensive side of the ball where they were dead last in passing defense last season, if they didn’t the Hurts era may start with fireworks as both Smith and Raegor have the ability to take it to the house on any given play. I expect this to be a shootout with both teams having a lot of talent on offense and both teams installing new defensive systems. Should be a fun start to the NFL season down in Atlanta. Go Eagles! |
