I have made two other DD's on TRIP entitled Why TRIP is in a Class of it's Own Parts 1&2, however I deleted that account to make a new one with more anonymity. It has been a little while since I've made a DD post, and with the merger with Creso on the horizon, there are quite a bit of new eyes on this stock, some who have invested and many who are on the fence. I wanted to take an opportunity to do an overview of the potential (both immediate and long term) of this company, and why I think this company is positioned to become the Red Bull of the psychedelic space, both in the recreational and medical contexts. Some of this will be a repeat of what I have written in the past, but only because I believe it is important to set the stage for the new eyes to the company. I will touch on the share count/reverse split aspect at the end briefly, but my focus is less on the technicals and more on the value side of things.

The Merger
As many of you know, an upcoming merger was announced recently between Red Light Holland and Creso Pharma to create what will be the HighBrid Labs. This merger was done to combine the recreational/medical psilocybin truffles that RLH currently sells in the Netherlands (and intends to sell medically in Brazil), as well as the THC/CBD sales that Creso is selling in select legal markets. Along with the recreational sales, both companies are in the process of acquiring their own research lab companies (Mera Life Sciences and Halucenex Life Sciences), which will allow the eventual HighBrid Labs to have a major focus on the research and medicinal side of THC/CBD/Psilocybin/Future Compounds as well. This merger is valuable for what I believe to be 3 main reasons: vertical integration, more immediate and increased revenue, and an expanded but relatable product line

As I said there, I am not a supporter of Soviet communism, or even socialism - if I was I most certainly wouldn't be here. I strongly believe that forms of capitalism are superior to socialism in the world we live in, and that the collapse of the Soviet bloc and world communism was one of the greatest events of the 20th century in advancing human rights and prosperity. Nor am I an expert in economics, politics, or even Soviet history; I am just someone who has studied history, and Soviet history in particular (among other things).
This one's gonna be a bit broader than the last one. I'm going to flair it an effortpost even though I won't be able to go into as much specific detail and be as thorough as I was there, hopefully that's ok. I also won't be citing everything I say, just, again, to save time and because this will be quite broad, but if there's any questions on any statements I make I'm sure I can (hopefully) find some source for it.
So the main thing I'm trying to bring up here is the fact that, quite frankly, discussion of the Soviet Union and communism as it existed on here and within 'neoliberal' circles is not great. That's not because communism is criticised, it should be, but because it's criticised badly and not in good faith quite often, and there's an annoying lack of nuance to me compared to, say, how we would discuss the history of the US or a European country through the 20th century. I'll give some examples.

There is quite a significant amount of nuance in this area and it's not something we should try to discuss in broad strokes. MGC Pharmaceuticals Ltd (ASX/LSE: MXC) is a European based bio-pharma company developing and supplying affordable standardised phytocannabinoid derived medicines to patients globally, for the immediate growing demand in the existing medical markets in Europe, North America and Australasia and future key markets.
As of 28.05.2021, MGC Pharma currently have a market cap of around 60M. As a small market cap company this means we will see some volatility on this one. They are already generating revenues but expect to see some swings until contracts and connections evolve.
Shares in MGC Pharma are available through LSE: MXC, ASX: MXC and OTC: MGCLF and in total there are 2.31bln shares in issue with a sub 3p share price.
A phytocannabinoid is a fancy name for a product extracted from the cannabis plant, MGC Pharma produce cannabis based therapeutics and is a leader in the phytocannabinoid market. As it’s a cannabis related stock, there’s still a few hurdles to get over with legislation and regulation around medical cannabis but as the laws relax and the sentiment towards cannabis as a therapeutic improves then the share price will lift alongside that. Legislation could be one of the barriers but seeing how other countries are developing in this area I’ve got confidence that rules around CBD/THC therapeutics will become less strict in time and more doctors will prescribe.
It’s technically a weed stock but I’d break the cannabis market down into three areas – recreational, consumer and pharmaceutical. MGC Pharma focus on the pharmaceutical side which provides medicines to help patients with their quality of life over certain conditions which we’ll get into later on. What is happening?
AMC are having a meeting on the 4th May 2021 to determine a number of pointsMost recently, proposal 1 has been brought up as a huge topic of debate as to whether stockholders should vote yes or no to this. I’ll be explaining some of the information in the SEC filing, and some potential good and bad possibilities. This won’t be all the outcomes, just a few possibilities, and I encourage you to research this yourself to think of additional outcomes.
In the SEC filing, proposals 1 and 3 are “routine” items, which means that any brokerage who holds your stock can cast a vote using your shares if you do not vote yourself**^([S1])**
AMC require the holders of at least 225,078,094 shares**^([S2])** to be present or represented by proxy to establish a quorum and approve or disapprove of these points
I also feel that it is essential to state that there is no reference to “counting” of shares, other than to establish the quorum via proxies. Once they get their 225M shares to vote, they’re probably not going to care about the overall share voting figure, unless they spot it’s greater than their issuance.
The board has voted YES**^([S3])** to all points raised in the sec filing, but the biggest one discussed on Reddit is proposal 1:
“To approve an amendment to our Third Amended and Restated Certificate of Incorporation to increase the total number of shares of Class A Common Stock (par value $0.01 per share) the Company shall have the authority to issue by 500,000,000 shares to a total of 1,024,173,073 shares of Class A Common Stock”^([S4])

In recent years, cryptocurrency prices have benefited from the increasing adoption of “stablecoins”, a surrogate for fiat currency which have increased market liquidity and made trading of cryptocurrencies more accessible to retail investors. The largest of these “stablecoins” is Tether (also known as USDT) which has the third highest market capitalization of all cryptocurrencies at approximately US$62.6 billion[1], almost half of which has been generated in the past six months.
Although not necessarily well known, USDT is integral to cryptocurrency markets as it facilitates and enables a large portion of daily liquidity, particularly on unregulated exchanges. This can be demonstrated by looking at the volume of USDT that is traded on a daily basis, which is often larger than the trading volume of either Bitcoin or Ethereum.
As USDT’s value is “pegged”, it is often overlooked because, for investors, it is an intermediate step for turning the US Dollar into cryptocurrency investments. However, with USDT’s ever expanding role in providing liquidity in cryptocurrency markets and its deeper integration into the cryptocurrency ecosystem, it is extremely important for them to conduct their business transparently and with integrity as they are effectively custodians for US$62.6 billion of client monies, which includes your money as USDT is widely used on exchanges such a Binance and, more recently, Coinbase. If, as this article seeks to assert, the value of USDT is likely to be less than the market’s current valuation this has a significant impact on all parties that either hold or interact with third parties that hold USDT, including the exchanges. If exchanges such as Binance, who hold at least USDT17.1 billion[2], are heavily exposed to USDT and it effects their solvency this has a direct implication on your ability to withdraw your funds and your assets, potentially losing vast sums.

Every hedge fund relies on a bank to offer its services. You will not find a hedge fund without a bank.
hedge fund + bank = higher returns
because a hedge fund could never generate as much money as it does with its own capital. They don’t work and save and then invest. They want the tendies now. So they borrow the money to invest. That is leverage.
The banks give them this leverage by acting as prime brokers (PB). The traditional form is what we are all familiar with, i.e. the PB lends cash or securities to use in transactions.
Ever since Basel III, this traditional form of prime brokerage has become very expensive. But the HFs and the PBs found a way around it called synthetic prime brokerage. You can read the sources for all the details but basically instead of margin lending or securities lending, synthetic financing uses derivatives to provide leveraged exposure to an underlying asset without actually having to buy that asset.
Banks have a big incentive to offer this cheaper form of leverage because otherwise they would lose the hedge fund business, especially for shorting purposes. The most popular synthetic product is the equity swap. In an equity swap, the risk of the physical position backing the swap is passed on to the broker. The broker is the one who has to go out onto the market for the physical inventory it needs to hedge. Access to physical inventory is very important because that is how the broker can sell a short swap. Otherwise, the broker is simply taking the other side of the trade, which is exactly what it doesn’t want to do. It wants to be neutral.
When demand is bigger than supply for a security, there are ways to ensure access to physical inventory, e.g. obtaining an exclusive right to borrow someone’s long portfolio or from ETFs. The short demand of a hedgie must be offset with long demand by the broker through access to the real shares. Since this offsetting is done internally, we cannot see it.

It may come as a bit of shock, but there are actually no “coins” in Bitcoin. What we have are just digital entries in a long string of data called the blockchain. Why did UMG not go public until now? Under French law, an individual who owns more than 30% of a publically listed company must file a tender offer for all the outstanding shares. Bollore owns 16% stake in UMG and 27% of Vivendi, so that his total stake is about 36% of UMG. It's fine for Ballore to own 36% of unlisted UMG but once it's listed, he has to sell the 6% or try to buy all the shares.
What complex problem is Bill Ackman trying to solve? As part of 10% purchase of UMG, PSTH stockholders are buying about 7.02% of UMG while PSH is buying about 2.81% of UMG from Vivendi with ~ $4.1 billion.
In addition, PSTH sponsor warrants is for 5.95% of post-combination company. PSTH directors warrants for 0.26% of post-combination company. Strike price is $24/share rather than the original $20/share. It's at 20% premium to PSH
My hypothesis is that Pershing Square Holding buys Ballore's 6% of Vivendi through Sponsor Warrants, allowing PSH to own 8.81% of UMG. PSTH holders would own 7.01% of UMG. Tencent 20%. Ballore would own 30% of UMG.
The fact that PSH is paying $65,000,000 and PSTH directors paying $2,837,500 to buy additional 6.21% of UMG at $24/share to make this deal work suggest that the price of PSTH will increase to the $24-25 range at least to match Pershing square buying umg at $24 but doesn’t include sparc or Psth r.

The initial cost of purchasing a solar system is fairly high. This includes paying for solar panels, inverter, batteries, wiring, and the installation. Nevertheless, solar technologies are constantly developing, so it is safe to assume that prices will go down in the future.
Although solar energy can still be collected during cloudy and rainy days, the efficiency of the solar system drops. Solar panels are insanely dependent on sunlight to effectively gather solar energy (they are literally sun energy collectors). Therefore, a few cloudy, rainy days can have a noticeable effect on the energy system. You should also take into account that solar energy cannot be collected during the night.
Solar energy has to be used right away, or it can be stored in large batteries. These batteries, used in off-the-grid solar systems, can be charged during the day so that the energy is used at night. This is a good solution for using solar energy all day long but it is also quite expensive.
In most cases, it is smarter to just use solar energy during the day and take energy from the grid during the night (you can only do this if your system is connected to the grid). Luckily your energy demand is usually higher during the day so you can meet most of it with solar energy.
I should also mention that batteries are made of acid (poisonous) plastic (again poisonous) and graphite/metal (needs mining).

However, Botswana has been relegated relatively little of the intervention force, leaving refugees in its borders at risk. The Algerian government has therefore authorised the deployment of our armed forces to support Botswana’s army in turning back aggressors.
Immediately, our peacekeepers will be redeployed from neighbouring Zimbabwe along the A1 highway. They will liaise with Botswana’s high command to reinforce their forces positions wherever necessary, buying time for further Algerian troops to arrive. Their lack of heavy artillery or armor will likely relegate them to defensive roles initially.
Francistown’s International Airport will be the staging ground for the arrival of Algerian air and ground assets. 21 SU-30MKA’s and 7 SU-24M2’s will operate from here, conducting strikes on South African troop columns, strongpoints and supply convoys. To support Algerian forces from Zimbabwe, a mechanized brigade will be airlifted into Francistown using our 13 IL-76’s and American airlifters. The roughly 5,500 strong brigade will advance down the A1 highway to Rasesa, where they will split. A contingent of around 1000 troops, a mixture of mechanized, armoured and artillery elements, will advance across the relatively flat farmland to Modipane, from which they will attempt to cut the R49 highway, severing the supply route for South African troops around Gaborone. The sparse population in this area will allow the air force unrestricted ability to strike South African positions in support of this attack. The remaining elements will continue to advance along the highway directly to the capital, where they will either reinforce Botswana’s positions and relieve our initial deployment or assist in retaking the city and surrounding refugee camps, depending on the sit

Ive been wondering how the hell to safety store any huge amount of money when or if the MOASS happens.
In the UK, you are protected up to £85k per PRA-authorised institution (£170k for joint accounts) by the FSCS. This is NOT per banking brand, but PER institution.
Looking at the latest data from the bank of england https://www.bankofengland.co.uk/prudential-regulation/authorisations/financial-services-compensation-scheme
As the below table. There is 42 PRA-authorised institutions in the UK.
That techically means you can FSCS protect £85k x 42 = £3,570,000 (or double for joint accounts) if any of the institutions go under.

Elite Dangerous Market Connector ("EDMC") is a third-party application for use with Frontier Developments' game "Elite Dangerous". Its purpose is to facilitate supplying certain game data to, and in some cases retrieving it from, a number of websites and other tools.

In this example 5.0.1 would not be killswitched as part of this policy (but still could be if, e.g. a data corruption bug was found in it).

So if both of us co-founders have 50% stake the angel investors will get allotted new shares from the authorised share capital?
Lets say currently we both have 12500 shares each of 1$! How will it work? And SAFEs are better right?
