A House of Cards - Part 1

TL;DR- The DTC has been taken over by big money. They transitioned from a manual to a computerized ledger system in the 80s, and it played a significant role in the 1987 market crash. In 2003, several issuers with the DTC wanted to remove their securities from the DTC's deposit account because the DTC's participants were naked short selling their securities. Turns out, they were right. The DTC and it's participants have created a market-sized naked short selling scheme. All of this is made possible by the DTC's enrollee- Cede & Co.

Research: The History and Evolution of SPACs, The Causes of the SPAC Boom, Why Companies SPAC, and Who Invests in SPACs

I've been spending a lot of time reading up on the history and evolution of SPACs, the causes of the SPAC boom, why companies SPAC, and who invests in SPACs. Here is what I've learned:

SPAC Ancestors

SPAC-like companies have existed for many years starting in the early 1700s in England with blind pools during the South Sea Bubble. Blind pools made their way into the US as investment trusts during the Roaring 20s. They emerged again as blank check companies during the booming and fraud-filled penny stock market of the 1980s. Sadly many of these blank check companies where pump and dump schemes orchestrated by sketchy boiler room brokerage firms Γ  la Wolf of Wall Street. Due to the rampant fraud in penny stock markets congress passed the Penny Stock Reform Act in 1990 which gave the SEC the power to regulate penny stocks. The SEC then issued Rule 419 setting regulations and investor protections for blank check companies which largely killed them off. Thousands of blank check companies where created in the 80s while only around a dozen where created during the early 90s after regulation. However it also caused a new type of company to form, the SPAC.^(1)

The Birth of SPACs

SPACs where first created by David Nussbaum and his firm GKN Securities Corporation in the early 1990s.^(2) His SPACs avoid regulation as a blank check company under SEC Rule 419 by being too large to qualify as penny stocks namely by making sure the IPO raises over $5 million and shares are priced at over $5. However he also adopted many of the regulations that the SEC had put on blank check companies like requiring that the SPAC hold most of it's money in an escrow account invested in liquid government-backed securities, requiring that the SPAC spend at least 80% of its money on the acquisition, requiring the SPAC to make a deal within 18 months or give the money back, and giving investors the chance to get their money back if they don't like the deal. SPACs didn't adopt all the Rule 419 regulations most notably SPAC investors can trade their shares before it deSPACs.^(3) SPACs were also designed as a sort of private equity substitute which public market investors can invest in. Because of this SPAC structure tries to mimic private equity fund structure in some ways. For example the 20% promote received by SPAC sponsors mimics the 20% carried interest private equity fund managers usually receive.^(2)

So let’s get started at the beginning…

As a quick intro, I’ve been an investor in GME since January, I’ve seen the rips and I’ve seen the dips. In February, when u/deepfuckingvalue doubled down, I also did too. Since May, I’ve really taken a bit of a back seat and chilled out a bit, taking time to concentrate on my job, my pregnant gf, and a life I nearly blanked out through absolute commitment, some would say obsession, for the stonk.

Quite recently I’ve seen the likes of u/dlauer, Wes, Trimbo talking about the serious issues with the stock lending market, and I wanted to draw to your attention to some of the research I gathered some time back that should be known and more widely recognised. It’s not something that I’ve seen covered in many of the DDs from the likes of u/atobitt u/heyitspixel u/rensole u/criand u/sharkbaitlol or others, but totally forms another part of a big ol’puzzle.

So firstly for the smooth brains that don’t read good, what’s stock or securities lending?

β€œSecurities lending is the practice of loaning shares of stock, commodities, derivative contracts, or other securities to other investors or firms. Securities lending requires the borrower to put up collateral, whether cash, other securities, or a letter of credit.

When a security is loaned, the title and the ownership are also transferred to the borrower. A loan fee, or borrow fee, is charged by a brokerage to a client for borrowing shares, along with any interest due related to the loan. The loan fee and interest are charged pursuant to a Securities Lending Agreement that must be completed before the stock is borrowed by a client. Holders of securities that are loaned receive a rebate from their brokerage.

SERIOUS: This subreddit needs to understand what a "dad joke" really means.

I don't want to step on anybody's toes here, but the amount of non-dad jokes here in this subreddit really annoys me. First of all, dad jokes CAN be NSFW, it clearly says so in the sub rules. Secondly, it doesn't automatically make it a dad joke if it's from a conversation between you and your child. Most importantly, the jokes that your CHILDREN tell YOU are not dad jokes. The point of a dad joke is that it's so cheesy only a dad who's trying to be funny would make such a joke. That's it. They are stupid plays on words, lame puns and so on. There has to be a clever pun or wordplay for it to be considered a dad joke.

Upon Investigation I discovered that Kestra Advisory Services is actually part of a much larger group, the Kestra Allegiance. After examining the Kestra Allegiance in more depth I found Kestra Private Wealth Services and another 3 13F files, again all submitted since November 2020. This brings the total portfolio value of Kestra to $10.5 trillion. First off, this is not in-fighting, this is clarifying and hopefully for the very person I write this for - enlightening.

My approach in general is that I am handing out lights, but I wanna be honest - yours atobitt - occasionally go out in the very darkest places.

And I really hope this is not intentional, because what you are essentially creating is blind followers, dependent on you. But the worst is, you donΒ΄t realize your dependance on them.

Every DD that followed after "The everything short" reiterated errors and literally bend reality to fit your thesis, even after you were proven to be wrong many times by other DD Writers.

Your understanding in regards to the bond market is flawed and you drowned out any remarks into that direction, to the point of even ganging up on commentors, while reiterating errors long after they were made public.

So while the beginning of this DD may come off as harsh and stern, my intentions are to elaborate, that everyone contributed to uncovering - be it through morale engagement, informing or by educating others.

No one here was wrong about their research, their efforts and sleepless nights.What got many through, were these random DDs adding up with their own conclusion and random strangers on the Internet, who maybe know 4-6 words, but kept everyone informed and in delight. So start to be aware that everyone helped in their own way. And consider input as addition, not as substraction of your thesis, because if you ignore too many, your thesis will have too many holes left.

House of Card on top of a "House of Cards" - Uno Reverse on atobittΒ΄s DD [Formatted Edition]

First off, this is not in-fighting, this is clarifying and hopefully for the very person I write this for - enlightening.

My approach in general is that I am handing out lights, but I wanna be honest - yours atobitt - go out in the very darkest places.

And I really hope this is not intentional, because what you are essentially creating is blind followers, dependent on you. But the worst is, you donΒ΄t realize your dependance on them.

Every DD that followed after "The everything short" reiterated errors and literally bend reality to fit your thesis, even after you were proven to be wrong many times by other DD Writers.

Your understanding in regards to the bond market is flawed and you drowned out any remarks into that direction, to the point of even ganging up on commentors, while reiterating errors long after they were made public.

So while the beginning of this DD may come off as harsh and stern, my intentions are to elaborate, that everyone contributed to uncovering - be it through morale engagement, informing or by educating others.

No one here was wrong about their research, their efforts and sleepless nights. What got many through, were these random DDs adding up with their own conclusion and random strangers on the Internet, who maybe know 4-6 words, but kept everyone informed and in delight. So start to be aware that everyone helped in their own way. And consider input as addition, not as substraction of your thesis, because if you ignore too many, your thesis will have too many holes left.

  • => ThatΒ΄s why DD Writers should only work with assumptions and not phrase their input as factual. Because a Theory is always adjusted to reality and not the other way around as you did - bending reality to fit your Thesis.
  • => Even your own audience admits, even through memes, that they have a hard time to follow you, which is not only due to the sheer amount of your input, but also the discrepancies that do not add up. Especially how you phrase your DD
