TLDR 1: I believe FTOC + Payoneer is likely. First, FTOC lists on the NASDAQ, Payoneer wants to be listed on the NASDAQ. Second, Gillian Tan broke the rumor, which increases my confidence. Her article indicates FTOC is cobbling together the PIPE. In fact, by analyzing Gillian rumor articles between Jan 2020 and Jan 2021, I believe the DA will be released within a month.
TLDR2: On Payoneer itself, need real numbers, but good first impressions from press coverage. Seems more of an exciting growth company than a boring one with a long list of clients but stable growth rate.

1. Intro
Posting about something which is not CCIV these days seems like announcing DA in the middle of October 2020. But I'd like to share with you guys my thoughts about FTOC, Payoneer, and a little fun analysis I did on a Friday night about Gillian Tan's rumor articles.
I assume you are familiar with the FTOC the SPAC, and know who Betsy Cohen and Ryan Gilbert are. Or you know, just read the intro and the management section in the S1 filing.
Rather than rehashing info from the S1, I'd just like to make two points about FTOC the SPAC. First, the Calcalist's original rumor (https://www.calcalistech.com/ctech/articles/0,7340,L-3883493,00.html) indicates that Payoneer is seeking to go public through a SPAC listed on the NASDAQ. This makes FTOC likely - large war chest, Jewish founder, and most other big/reputable fintech SPACs are listed on the NYSE. Why am I saying this even though the rumor is already out? Because deal is not finalized and some other redditors have raised the concern that other SPACs may end up bringing Payoneer public.
Second, per Gillian Tan's Jan 20th rumor article FTOC "has begun talks to raise new equity to support a transaction thatβs slated to value the combined entity at more than $2.5 billion". I read this as the basic terms of the transaction are already agreed upon; it's now only about cobbling together a PIPE to finish it. After all, "advanced talk" was already reported by Calcalist in December 2020.

Alto Pharmacy, a startup that specializes in same-day delivery of prescription medications, is in talks to go public via a blank-check firm affiliated with Alec Gores, according to people with knowledge of the matter.
A deal between Alto and Gores Technology Partners II Inc., featuring a so-called private investment in public equity, or PIPE, is set to value the combined entity at around $2.3 billion, one of the people said. A transaction hasnβt been finalized and itβs possible talks could collapse, but if one is reached, it could be announced in the coming weeks.
Representatives for Gores and Alto declined to comment.
Alto was last valued at $600 million, according to PitchBook. Its backers include SoftBank Group Corp.βs Vision Fund 2, GreenOaks Capital, Jackson Square Ventures, Olive Tree Capital and Zola Global. The company was previously known as ScriptDash.
Gores Technology Partners II raised $460 million in a March initial public offering. Justin Wilson, now a Gores senior managing director and co-CEO of the SPAC, led SoftBankβs investment in Alto alongside Jeff Housenbold.
ββU.S. pharmacies comprise a $350 billion market, but providers and consumers face meaningful pain points,β Wilson said in a February 2020 statement announcing SoftBankβs investment in Alto. βTraditional pharmacies still rely on outdated technologies like phone, fax, and paper, that arenβt built for our increasingly digital world.β

Lodging startup Sonder, which decks out apartments and hotel rooms as hip short-term rentals, has agreed to merge with blank-check company Gores Metropoulos II Inc., according to people familiar with the matter.
The agreement between Sonder and the Gores special purpose acquisition company, or SPAC, could be announced as soon as Friday, said the people, who asked not to be identified because the matter is private. The transaction would give the combined entity a pro forma enterprise value of $2.2 billion, the people said.
The transaction includes a $200 million private placement led by an affiliate of Gores Group, the investment firm founded by the SPACβs Chief Executive Officer Alec Gores, with participation from Fidelity Management & Research Co., funds and accounts managed by BlackRock Inc., Atreides Management, entities affiliated with Moore Capital Management, Principal Global Investors and Senator Investment Group.
Representatives for Sonder and Gores declined to comment. Representatives for Atreides, BlackRock, Fidelity, Moore Capital, Principal and Senator didnβt immediately respond to requests for comment.
Last year, Sonder reached a valuation of $1.3 billion after a funding round.
The company previously raised more than $560 million and is backed by investors including Fidelity, WestCap, Inovia Capital, Valor Equity Partners, Greenoaks Capital, Greylock Partners and Spark Capital.
Gores Metropoulos II, led by CEO Gores and Chairman Dean Metropoulos, raised $450 million in a January initial public offering.
San Francisco-based Sonder first refurbishes short-term rentals and lists them on its website, as well as with Airbnb Inc. and Expedia Group Inc.βs Vrbo. Sonder, which has taken over other buildings including old hat factories and police stables, has also expanded in recent years to work with hotels.
Sonder CEO Francis Davidson began experimenting with amenities when he was managing apartments as a McGill University student in Montreal. Davidson founded Sonder in 2012 with Martin Picard, and told Bloomberg News in 2019 that the company had ambitions of raking in more revenue than Marriott by 2025.

I had to work late into the evening yesterday, and he was just going to bed when I got home. I had left home for the office nearly 14 hours prior, had a long day, lots of meetings, traffic, etc.
When I walked through the door, I was exhausted, run down, and starving. My wife hugged me and asked how my day was, and I replied, "Done. It was a good day, but has got me exhausted. I just want to grab a bite and go to bed. I'm hungry."

Founded in 2005, Payoneer -- which has said itβs profitable -- is backed by investors including Wellington Management Co.,Β TCV,Β Greylock Partners,Β Ping AnΒ andΒ Viola Ventures. The company, founded in Israel byΒ Yuval TalΒ and now led by Chief Executive OfficerΒ Scott Galit, operates in more than 200 countries and territories. It provides services including cross-border payments for customers including Airbnb Inc., Amazon.com Inc., Google and Walmart Inc. its website shows.
FTAC, led by ChairmanΒ Betsy CohenΒ and Chief Executive OfficerΒ Ryan Gilbert, raised roughly $755 million in an August initial public offering for the purpose of acquiring or merging with a technology or financial services technology-focused company.

Happy Sunday everyone. I hope those of you here are enjoying the sub. After researching more into the Bloomberg reporter Gillian Tan (GT), I found information which may be significant to the potential DA. Much of the information below comes from this post by /u/pomelo_2
TLDR: I believe the DA will happen, but will take place in late June or early July, later than many are expecting.
Below are a few of my notes from the analysis.
"Interestingly, Gillian often reports the estimated PIPE size, the valuation of the company, or both, in her successful rumor articles. Both failed rumors CCX-Topgolf and ANDA mentioned neither the valuation nor the PIPE size. Among the successful rumors, only the CCX-Skillsoft and ATAC articles did not report these information."
The DCRC rumor mentioned a valuation. At the time of the post, every GT rumor (between Jan '20 and Jan '21) mentioning PIPE or the valuation resulted in an eventual DA.
Continuing, "All SPACs in the first group of successful rumors with clearly defined DA timeline announced DA within the timeframe reported by Gillian. For the second group [Successful rumors without a clearly defined timeline], it takes on average 3 weeks to a month. There are two outliers. One is OAC which took almost two months for the DA to come out after the rumor. The other is DMYT which only took a few days."
The DCRC rumor did NOT mention a clear timeline. Aside from DMYT, rumors which did not mention a clear timeline [n=13] took around three weeks to a month. This leads me to believe that a DCRC DA may be further away than many are expecting, somewhere in the late June to early July time frame.
On top of this analysis, many are expecting a DA come Monday/Tuesday because of the hastiness of their previous SPAC, DCRB in announcing a DA with Hyzon post-rumor (4 days between). While both were reported by GT, there is a minor yet possibly significant difference in the wording. The initial DCRB/Hyzon rumor announced that the target had "agreed to go public via a merger". The initial wording for the DCRC/Solid Power rumor only stated they were "in talks". Whether this affects the timing or even the occurrence of an eventual DA, it's significant to note.

The article was written on 12/23, which puts this in progress for about 60 days thus far. And, as of 12/23 they had already been drafting their SEC filing.
I think it's reasonable to expect that this happens very soon.
